Terms of Service

1. Eligibility and Authority

• You represent and warrant that you are at least 18 years of age and legally competent to enter into binding contracts.
• If you are using the Services on behalf of a company, firm, partnership, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Scope of Services

• QuickBid provides an AI-powered, cloud-based assistive platform for tender discovery, document analysis, bid preparation, compliance support, analytics, and related workflow automation.
• The Services are assistive in nature only and do not replace professional, legal, financial, technical, or regulatory expertise.

QuickBid does not guarantee:

• Award of any tender or contract
• Accuracy, completeness, or regulatory compliance of outputs
• Acceptance of documents by any authority

3. AI Usage and Disclaimer

The Services incorporate artificial intelligence, machine learning, and automated processing systems ("AI Systems").

You expressly acknowledge and agree that:

• AI Systems may produce inaccurate, incomplete, or erroneous outputs
• AI Systems are probabilistic and continuously evolving
• All AI-generated outputs require independent human review and validation

No Warranty on AI Outputs
QuickBid makes no representations, warranties, or guarantees of any kind regarding AI outputs, including accuracy, reliability, completeness, suitability, or fitness for a particular purpose.

Limitation of Reliance
You agree not to rely solely on AI outputs for any business, legal, financial, regulatory, or contractual decisions.

4. User Responsibilities

You agree to:

• Provide accurate, current, and complete information
• Maintain confidentiality of login credentials
• Ensure compliance with all applicable laws, tender rules, and regulations

You are solely responsible for:

• Reviewing, verifying, and approving all documents and submissions
• Ensuring correctness of uploaded data and tender responses
• Any consequences arising from use of the Services

5. Prohibited Activities

You agree not to:

• Misuse the Services or use them for unlawful purposes
• Upload malicious code, viruses, or harmful content
• Attempt to reverse engineer, scrape, or bypass platform safeguards
• Infringe intellectual property rights of QuickBid or third parties
• Use the Services to submit fraudulent, misleading, or unlawful bids

6. Intellectual Property Rights

• All rights, title, and interest in the Services, including software, algorithms, workflows, UI/UX, documentation, trademarks, and proprietary methodologies, are owned by or licensed to QuickBid.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for internal business purposes during the subscription term.
• No ownership rights are transferred to you under these Terms.

7. User Content and Data

• You retain ownership of content and documents uploaded by you ("User Content").
• By using the Services, you grant QuickBid a limited, non-exclusive license to process, analyze, store, and transmit User Content solely for providing the Services.
• You represent that you have all necessary rights and permissions to upload User Content.

8. Confidentiality

• Each party agrees to maintain confidentiality of non-public, proprietary, or confidential information obtained through the Services.
• Confidentiality obligations survive termination of these Terms.

9. Fees, Subscriptions, Tokens, and Payments

Certain features and Services of QuickBid are offered on a paid basis through the purchase of proprietary usage credits known as "QB Tokens" and/or subscription plans.

QuickBid reserves the right to revise pricing, token valuation, or usage policies at any time with prior notice.

10. Suspension and Termination

QuickBid may suspend or terminate your access immediately if:

• You violate these Terms
• Required by law or authority
• There is suspected misuse, fraud, or security risk

Upon termination, your right to use the Services ceases immediately.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

QUICKBID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• QUICKBID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• QUICKBID SHALL NOT BE LIABLE FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR FAILED TENDERS
• TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO QUICKBID IN THE PRECEDING 12 MONTHS

13. Indemnification

You agree to indemnify, defend, and hold harmless QuickBid, its directors, officers, employees, partners, and affiliates from any claims, damages, losses, liabilities, and expenses arising out of:

• Your use or misuse of the Services
• Violation of these Terms
• Violation of applicable laws or third-party rights

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts located in Lucknow, Uttar Pradesh, India.

15. Force Majeure

QuickBid shall not be liable for failure or delay due to events beyond reasonable control, including acts of God, war, strikes, system outages, or government actions.

16. Amendments and Policy Updates

• QuickBid reserves the absolute right, at its sole discretion, to modify, amend, update, or replace these Terms, the Privacy Policy, or any other platform policies at any time, without prior notice to users.
• Updated versions shall be effective immediately upon being published on the QuickBid website or platform.
• It is the user’s responsibility to periodically review applicable policies. Continued access to, registration with, or use of the Services after such updates constitutes deemed acceptance and renders the revised terms binding and enforceable on all users.
• Such amendments shall apply uniformly to all users across all jurisdictions and geographical locations, to the maximum extent permitted by applicable law.

17. Severability and Waiver

If any provision is held unenforceable, remaining provisions shall remain in full force.

Failure to enforce any right shall not constitute a waiver.
